Terms of Use (Rider)

1. Legal Relationship
Razzo and each driver or rider (the "Service Provider") enter into a contractual relationship pursuant to which the Service Provider is granted limited access to and use of the Razzo platform, including the driver or rider application (the "Platform"), for the purpose of providing transportation, ride-hailing, delivery, or related services. Nothing in the agreement shall be deemed to create an employment, employer-employee, partnership, joint venture, or agency relationship between Razzo and any Service Provider. Service Providers operate as independent contractors or independent business entities that contract with Razzo solely for access to the Platform.
2. Independent Contractor Status
Service Providers expressly acknowledge and agree that they are independent contractors and not employees of Razzo. Each Service Provider is solely responsible for all costs and expenses associated with their services, including but not limited to fuel, vehicle maintenance, insurance, permits, licenses, and all applicable taxes. Razzo does not withhold payroll or employment taxes, nor does it provide employee benefits of any kind. The agreement further provides that Razzo does not control the Service Provider's work schedule, methods, or manner of performing services.
3. Service Provider Autonomy
Service Providers retain full discretion to determine when, where, and for how long they access the Platform by logging into or out of the Razzo application. Service Providers may freely accept or decline any ride or delivery request. The agreement does not impose exclusivity, and Service Providers may provide similar services through competing platforms or engage in other business activities at their discretion.
4. Service Provider Obligations
Service Providers shall perform services in a professional manner and in compliance with all applicable laws and regulations, including maintaining a valid driver's license, required permits, and insurance coverage. Service Providers must ensure that all account information provided to Razzo is accurate, current, and complete. They are also required to comply with Razzo's quality standards, codes of conduct, safety requirements, and customer service guidelines, as may be amended from time to time.
5. Fees and Payments
A "Fare" refers to the amount paid by a passenger for a ride or delivery service. In consideration for access to and use of the Platform, Service Providers agree to pay Razzo a commission or service fee (the "Razzo Fee"), which may be deducted from their earnings. The amount, calculation method, and timing of Razzo Fee payments, as well as any applicable penalties for late payment, are governed by the agreement and the Razzo terms and conditions, including applicable payout schedules.
6. Suspension and Termination
Razzo reserves the right to suspend or deactivate a Service Provider's access to the Platform in the event of a breach of the agreement, violation of community or safety guidelines, or conduct that may adversely affect Razzo's reputation or regulatory compliance. Service Providers may terminate the contractual relationship at any time by ceasing use of the Platform or providing notice as required under the agreement.
7. Additional Contractual Provisions
Data and Device Use: Service Providers consent to Razzo's collection and use of certain data, including location data, in connection with the operation of the Platform. Service Providers are responsible for supplying and maintaining their own compatible smartphone or device.
Modifications: Razzo may amend or update the agreement from time to time. Continued access to or use of the Platform following such modifications constitutes acceptance of the revised terms.
8. Intellectual Property
All rights, title, and interest in and to the Razzo application, Platform, software, trademarks, and related intellectual property remain exclusively with Razzo. Use of the Platform does not confer any ownership or proprietary rights to Service Providers.
